IDX.Marketing Terms of Service & Engagement Letter

Effective as of September 9, 2025

Thank you for choosing Imagine Digital Expressions, Inc. (“IDX.Marketing”) for your marketing system setup, digital automation, website, and related services.

These Terms of Service (“Agreement”) outline how we work together. By paying your invoice or using our services, you (“Client”) agree to the following:

1. Scope of Services

All services provided—whether one-time or ongoing—will be outlined in the associated invoice, proposal, or signed scope of work.

IDX.Marketing agrees to perform all services:

In a timely and professional manner
Based on current industry standards
Within the scope defined for your project

Important: ADA accessibility compliance is not included unless explicitly agreed upon in writing. Ensuring full compliance with the Americans with Disabilities Act (ADA) and WCAG 2.1 AA standards is the sole responsibility of the Client (website owner).

2. Payment Terms

One-Time Projects: Fees are due based on the terms in your invoice.
Monthly Subscriptions (e.g., $97 Core System): Invoices are sent monthly and due within 10 days.

Late Fees & Penalties:

10% late fee if unpaid by the due date.
Services may be suspended if payment is over 15 days late.
Reactivation Fee: 10% of outstanding invoice total, subject to approval.
5% fee for credit card payments.

3. Ownership of Deliverables

Once all payments are made in full:

You own the final deliverables (funnels, automation, website, etc.) created specifically for you.
IDX.Marketing may retain copies for internal use, legal compliance, and portfolio purposes—unless otherwise agreed in writing.

4. Client Responsibilities

To keep your project on schedule, you agree to:

Respond promptly to communication
Provide any required materials (logos, content, approvals, etc.)
Respect agreed timelines

Delays in feedback or asset delivery may shift project deadlines.

5. Termination

Either party can end the agreement in writing if the other party breaches material terms.

If the agreement is terminated:

You are responsible for payment of all work completed up to that point.
Partial refunds (if any) are at IDX.Marketing’s sole discretion.

6. Legal & Jurisdiction

This agreement follows the laws of the State of Florida.

Any disputes must be resolved in courts located in Orange County, Florida.

7. Accessibility & ADA Disclaimer

IDX.Marketing does not guarantee compliance with the Americans with Disabilities Act (ADA) or WCAG 2.1 AA accessibility standards unless:

It has been explicitly scoped, and
Agreed upon in writing prior to the start of your project.

Responsibility for ADA compliance rests solely with the website owner.

If you need full accessibility review or implementation, we can refer you to qualified partners or scope it separately upon request.

8. Acceptance of Terms

By paying any invoice, signing a proposal, or using our services, you:

Confirm that you have read, understood, and accepted these terms
Acknowledge that this document governs your relationship with IDX.Marketing
Agree that you had the opportunity to consult independent legal counsel if needed
